Mitchell S. Ames is a partner with Pepper Hamilton LLP in the Corporate and Securities Practice Group, resident in the New York office. Mr. Ames has extensive experience in the areas of domestic and international mergers and acquisitions, private equity, joint ventures, public and private capital raising, restructurings and intellectual property licensing.

Mr. Ames has been recognized as a leading media corporate lawyer in Chambers USA: America’s Leading Lawyers for Business (2005-2008 editions).

Mr. Ames joined Pepper in July 2007 and represents clients in traditional and digital media, health care, financial and investment services, telecommunications, manufacturing, energy and high technology. He counsels:
  • private equity and recovery fund operators on fund formation, leveraged investments, platform-growth and management compensation matters
  • international media companies, television networks, theme park operators, music and book publishers, telecommunications service providers, technology companies and textile manufacturers on a wide range of merger and acquisition, joint venture, financing, recapitalization and securities matters
  • financially-troubled and bankrupt retailers, real estate conglomerates, investment banking companies and others in restructuring and disposition matters.
The following engagements are representative of work Mr. Ames has handled:
  • representation of an international investment bank in the sale of certain financial services businesses
  • representation of private equity fund in connection with a series of international trade show and trade publication stock and asset acquisitions
  • representation of an international private equity fund in health care buyout opportunities
  • representation of financial services, energy and technology joint ventures
  • representation of Gemstar-TV Guide International in the formation of an interactive program guide joint development group with Comcast Corporation
  • representation of Fox Television Stations in the creation of nine duopolies
  • representation of a major theme park operator in acquisitions and character licensing
  • representation of Olympia & York in the Chapter 11 reorganization and refinancing of ownership interests in its New York City properties, including the World Financial Center.

Mr. Ames received his bachelor’s degree, magna cum laude, from State University of New York at Buffalo. He received his law degree, magna cum laude, from the New York University School of Law in 1987, where he was an articles editor of the Journal of International Law and Politics and an AmJur scholar.

Mr. Ames is admitted to practice in New York and before the U.S. District Courts for the Eastern and Southern Districts of New York.
